SMART Flint COMMUNITY LICENSE Version 1.0 Licensor: Xinonix Interactive Development, Inc. Commercial licensing enquiries: dvaccaro@xinonix.com Copyright (c) 2026 Xinonix Interactive Development, Inc. Community revenue threshold: USD 5,000,000. This is a source-available license, not an OSI-approved open-source license. Eligible individuals, research institutions, nonprofit organizations, and businesses may use the Software without a license fee as described below. Other use requires a separate commercial license from the Licensor. 1. COVERED SOFTWARE "Software" means the Licensor-owned SMART Flint service, console, SDKs, examples, synthetic fixtures, and accompanying documentation that the Licensor expressly distributes under this license, including Licensor-owned portions incorporated into modified versions. This license does not cover third-party components or data, real patient data, external tools, trademarks, other products, or separately licensed specification material. Each excluded item requires its own applicable rights. Third-party software remains under its original terms. "You" means the individual or legal entity exercising rights under this license. Use in employment or contracting is use by the organization for which the work is performed, rather than personal use by its employee or contractor. "Organization Group" means You and all entities that directly or indirectly control You, are controlled by You, or are under common control with You. "Control" means more than 50 percent of voting power or ownership, or the power to direct management through ownership, contract, or equivalent arrangements. "Annual Gross Revenue" means the Organization Group's consolidated worldwide revenue from all activities in its most recently completed fiscal year, eliminating intercompany transactions, before expenses or taxes. If no fiscal year has been completed, use actual revenue since formation. Investment proceeds and loan principal are not revenue. Use a consistently applied annual average exchange rate from a recognized financial reporting source to convert other currencies to US dollars. Revenue means the whole group's revenue, not only revenue attributable to SMART Flint, and is not profit, valuation, or funding. Following a change of control, assess the newly composed group immediately using each member's most recent completed fiscal-year revenue, or actual revenue since formation if none has been completed. Use consolidated amounts where available and eliminate revenue already counted and intercompany transactions, including when members have different fiscal year-end dates. 2. COMMUNITY ELIGIBILITY You may exercise the rights in Section 3 without a license fee when at least one of the following applies: (a) You are an individual acting for yourself for personal, educational, noncommercial, or independent research purposes, rather than performing work for an organization that is not eligible under this section. (b) You are a recognized public or nonprofit academic institution or public research institution not controlled by a for-profit organization, using the Software for your own education, research, or public-interest activities. An independent research grant does not by itself remove eligibility. Operating or developing a noneligible organization's business systems as an outsourced service does not qualify under this research exception. (c) You are a bona fide nonprofit organization recognized under applicable law, organized for charitable, scientific, educational, healthcare, or other public-benefit purposes, that does not distribute profits to private owners and is not controlled by a for-profit organization. This exception is not subject to a revenue limit and covers your own legitimate activities. (d) Your Organization Group has Annual Gross Revenue strictly below USD 5,000,000. This permission includes commercial use, development, internal deployment, and products or services operated by your group. There is no employee, contractor, funding, or valuation limit. Eligibility is assessed when use begins, at each fiscal year-end, and whenever control changes. Loss of revenue eligibility takes effect on the fiscal year-end when that year's Annual Gross Revenue is at or above the threshold; use reasonably available accounting records, and do not postpone assessment until audited statements are issued. Loss of eligibility following a control change takes effect on that change's closing date. A contractor may exercise rights solely for an eligible client's work under that client's eligibility, even if the contractor itself would not qualify. Each client must qualify or hold an applicable commercial license. Creating a small subsidiary or using an intermediary does not make a noneligible Organization Group eligible. 3. COPYRIGHT AND PATENT GRANTS While eligible and complying with this license, You receive a worldwide, nonexclusive, royalty-free license to use, run, reproduce, inspect, modify, and distribute the Software for your permitted purposes, including in your own proprietary products. You own your original modifications; no assignment of your intellectual property or disclosure of your separate application code is required. Licensor-owned portions remain subject to this license. The Licensor also grants a worldwide, nonexclusive, royalty-free patent license to make, use, and distribute the covered Software under patent claims the Licensor has authority to license that are necessarily infringed by the covered Software as supplied. This does not grant rights to unrelated combinations, independent modifications, or third-party patents. If You initiate patent litigation alleging infringement by the covered Software, this patent grant terminates upon filing that claim. These grants last for the covered version unless eligibility ends under Section 6 or the license terminates under Section 8. Changes to future license versions do not amend this license for a copy already received under it. 4. DISTRIBUTION AND DOWNSTREAM USE When distributing the Software, including within a compiled or bundled product, include this license and preserve applicable copyright and third-party notices. Identify material modifications. Do not present a modified version as an unmodified official release or remove the eligibility conditions from Licensor-owned portions. You may distribute copies to any recipient, but distribution does not authorize that recipient's use beyond its own license. Recipients receive any applicable rights directly under this license and must independently qualify, or obtain a commercial license, to use the Software. You cannot sublicense Licensor-owned portions under unrestricted terms. An ineligible customer receiving and running an embedded copy requires a commercial license covering that use, including an appropriate OEM agreement where offered by the Licensor. Receiving output from an eligible organization's hosted product or service does not, by itself, make the recipient a user of the Software. The operator must qualify or hold a commercial license. An operator cannot rely on its own eligibility to deploy or administer the Software within an ineligible client's systems or to supply a dedicated outsourced SMART Flint installation for that client. For this purpose, a dedicated outsourced installation means an installation in a client-controlled environment or one operated as the client's agent for its internal use rather than under the operator's standard hosted-service offering. An isolated tenant in such a standard hosted offering is not, by itself, a dedicated outsourced installation. 5. OUTPUTS AND EVALUATION This license does not impose revenue restrictions, fees, disclosure duties, or notice requirements on data, images, documents, or other outputs merely because they were processed by the Software. It grants no rights in input data or third-party material contained in an output. Copies of the Software within an output remain Software subject to the applicable license. An otherwise ineligible Organization Group may inspect and evaluate the Software for up to 30 consecutive days per major Software version solely in a nonproduction environment. This exception permits testing and internal evaluation, not production use, paid services, or distribution. The period starts on its first execution of that major version and cannot be restarted by using another affiliate, contractor, or minor version. For this limited exception, the Organization Group is temporarily eligible for the Section 3 copyright and patent grants solely to inspect, reproduce, run, and modify the Software as necessary for that internal evaluation. Evaluation permissions expire after the 30-day period; expiration does not trigger the 90-day transition in Section 6. 6. LOSS OF ELIGIBILITY If You cease to qualify after lawful community use, including through growth or acquisition, You have 90 days from the eligibility change to obtain an appropriate commercial license or cease using and distributing the Software. The eligibility change date is the fiscal year-end or control-change closing date specified in Section 2, or the date an applicable institutional or nonprofit qualification ends. During that transition, previously permitted use may continue under these terms. After the transition, this license's copyright and patent permissions end for Your otherwise ineligible use. You may retain one inactive archival copy for records or legal obligations. Independently eligible recipients' licenses and rights in generated outputs are not terminated by Your change. 7. COMMERCIAL ALTERNATIVE AND RESERVED RIGHTS An Organization Group at or above USD 5,000,000 Annual Gross Revenue that does not qualify for an exception requires a separate written commercial license for use beyond the evaluation or transition permissions above. The Licensor may also offer OEM, distribution, support, or other agreements. No commercial license arises merely by requesting a quote or making an unspecified payment. The Licensor retains ownership of its Software. No trademark endorsement, support, maintenance, certification, or rights not expressly granted are included. Fair use and other rights that cannot lawfully be limited remain unaffected. This license applies only to rights the Licensor can grant. 8. BREACH AND TERMINATION Permissions terminate if You materially breach this license and do not cure the breach within 30 days after written notice identifying it. Cure requires ending unauthorized use and correcting affected distributions where reasonably practicable. A first breach timely cured does not terminate the license. The eligibility transition in Section 6 is governed by its separate deadline; it is not extended by this breach provision. On termination, cease use and distribution except where independently authorized, and delete or stop using active Software copies. You may retain an inactive archival copy for legal obligations. Sections concerning ownership, third-party rights, outputs, notices, disclaimers, and liability survive. Termination of Your license does not terminate an independently compliant recipient's direct license. 9. WARRANTIES AND LIABILITY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, SECURITY, OR UNINTERRUPTED OPERATION. NO CLAIM OF CLINICAL, REGULATORY, ANONYMIZATION, OR STANDARDS CERTIFICATION IS MADE BY THIS LICENSE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE LICENSOR AND ITS CONTRIBUTORS ARE NOT LIABLE FOR DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF DATA, PROFITS, OR BUSINESS, ARISING FROM THE SOFTWARE OR THIS LICENSE, UNDER ANY THEORY OF LIABILITY. NOTHING EXCLUDES LIABILITY THAT APPLICABLE LAW DOES NOT PERMIT TO BE EXCLUDED. 10. INTERPRETATION If a provision is unenforceable, the remaining provisions continue to the extent permitted by law. No waiver is implied by failure to enforce a term. This license governs the covered Licensor-owned Software and supersedes conflicting legacy proprietary boilerplate in that covered material; it does not override third-party license terms. Only a separate agreement signed by the Licensor can grant different rights. This license does not license a contributor's separate material unless that contributor has authorized it.
